Board Responsibilities

Quality & Safety

What

The board’s responsibility to oversee the organization’s quality of care and patient safety performance — approving quality goals, monitoring results against them, and holding management accountable for improvement, without directly managing clinical operations.

Why

Quality and safety failures carry the highest stakes of any governance responsibility — patient harm, not just financial or reputational loss. Regulators, accreditors, and the public hold the board, not just management, responsible for the outcomes.

Important Considerations

  • Quality spans more than safety alone — the Institute of Medicine’s six dimensions (safe, timely, effective, efficient, equitable, patient-centered) all fall under board oversight.
  • The board’s role is oversight of the process and outcomes, not clinical judgment on individual cases.
  • Credentialing and privileging decisions carry direct legal exposure for the board and require documented, consistent process.
  • Quality deserves board time proportional to its stakes — many boards under-invest relative to financial oversight.
  •

In Practice Example

A board’s quality committee reviews a rising readmission rate for two consecutive quarters. Rather than waiting for the annual report, the committee asks management for a root-cause analysis and a corrective action plan at the next meeting, then tracks the metric until it stabilizes.

Governance Questions

  • Do we hear promptly about serious safety events and worsening results, and know what is being done?

  • When problems arise, do we know who is accountable, when improvements are due, and whether changes are working?

  • Do staff feel safe reporting mistakes and concerns, and do we use patient and family feedback to identify problems?

  • Do we make sure the credentialing process is sound while relying on qualified clinical leaders to evaluate individual clinicians?

  • Do we understand which regulatory and accreditation findings need board attention, and track them until they are resolved?
