To achieve this, Marshall partnered with Witalis LLC to undertake a purposeful governance evolution.<\/p>\n\n<p class=\"wp-block-paragraph\"><strong>Challenge<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">While Marshall\u2019s board met governance standards, they saw opportunities to elevate effectiveness and drive more strategic value for the organization. Key challenges included:<\/p>\n\n<ul class=\"wp-block-list\">\n<li>Board meetings were often bogged down with management report-outs, leaving little time for strategic discussions.<\/li>\n\n<li>The board often focused on management issues (<em>the how<\/em>) instead of staying at the governance level (<em>the why and where to<\/em>).<\/li>\n\n<li>An outdated committee structure which was not aligned with Marshalls current and future goals and priorities.<\/li>\n\n<li>The board struggled to anticipate and address emerging healthcare trends and competitive pressures.<\/li>\n<\/ul>\n\n<p class=\"wp-block-paragraph\"><strong>Solution<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">Marshall partnered with Witalis LLC to facilitate a purposeful governance evolution through the following activities:<\/p>\n\n<ul class=\"wp-block-list\">\n<li>Provided <strong>education<\/strong> sessions on the board&#8217;s roles and responsibilities, the distinction between the board and management, governance best practices, healthcare trends and fiduciary, strategic, and generative governance.<\/li>\n\n<li>Facilitated <strong>board retreats<\/strong> &#8211; with pre-determined board discussion questions and dedicated time on the agenda for board discussion &#8211; to increase <strong>time in discussion<\/strong>, draw out the knowledge in the room, build trust and understanding and gel as a board.<\/li>\n\n<li>Conducted a <strong>\u201clook under the hood\u201d assessment<\/strong> of governance practices and provided recommendations and sequencing to smoothly manage the transformation.<\/li>\n\n<li><strong>Restructured board committees<\/strong> to better focus on key board responsibilities, respond to changes in the market.<\/li>\n\n<li>Revamped <strong>board meeting agendas and materials<\/strong> to \u201cstay at a governance level\u201d, guide strategic action, and save time.<\/li>\n\n<li>Provided individual <strong>coaching<\/strong> to board officers during the leadership transition.<\/li>\n<\/ul>\n\n<p class=\"wp-block-paragraph\"><strong>Results &amp; Impact<\/strong><\/p>\n\n<ul class=\"wp-block-list\">\n<li>Better focus on <em>key<\/em> governance issues<\/li>\n\n<li>Better able to respond to changes in the market<\/li>\n\n<li>Increased Board discussion<\/li>\n\n<li>More intentional strategic action<\/li>\n\n<li>Better board and management dynamics and trust<\/li>\n\n<li>Better use of time<\/li>\n<\/ul>\n\n<p class=\"wp-block-paragraph\"><strong>Conclusion<\/strong><\/p>\n\n<p class=\"wp-block-paragraph\">Through its purposeful governance evolution, the Marshall board has greater clarity of its role and responsibilities, is structured to focus on the important governance topics, streamlined board operations, and elevated strategic decision-making and oversight.\u00a0<\/p>\n<hr class=\"wp-block-separator has-alpha-channel-opacity\" \/>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t","protected":false},"excerpt":{"rendered":"<p>Governance effectiveness at Marshall Started with board education in September 2022.
