This policy protects sensitive board and organizational information from unauthorized disclosure.
Policy
Board members treat all matters brought before the board and its committees as confidential, unless the board has approved public disclosure. This includes executive session discussions, personnel matters, peer review information, and competitively sensitive material.
Expectations
- Board members do not share meeting materials or discussions outside the board without authorization.
- Executive session discussions remain confidential indefinitely, not just until the next meeting.
- Requests for information about board matters are directed to the Chair or CEO.
- Confidentiality obligations continue after a board member’s term ends.
Acknowledgment
Each board member signs a confidentiality agreement upon joining the board and reaffirms it annually.
